Applicability and modifications

These terms apply to the website, offers, proposals, and agreements where Rizvanolli Solutions provides consulting, workflow automation, AI implementation, software, or related business process services.

Rizvanolli Solutions refers to the business operating this website and registered in the Netherlands with Chamber of Commerce number 90436059.

Different terms only apply when agreed in writing. If part of these terms is invalid or unenforceable, the remaining terms continue to apply. Rizvanolli Solutions may update these terms by publishing a revised version on this page.

Delivery and acceptance

Delivery dates, milestones, and planning estimates are indicative unless a written agreement explicitly states that a deadline is binding. Rizvanolli Solutions will make reasonable efforts to meet agreed planning, and the client will provide the input, access, feedback, and decisions needed to keep work moving.

Deliverables are considered accepted when the client uses them, approves them, or does not report material issues within 14 days after delivery. Reported issues must describe the problem clearly enough for review and correction.

Unless agreed otherwise, delivered workflows, automations, prototypes, and software may only be used for the client's internal business purposes.

Pricing and payment

Prices are exclusive of VAT and other government charges unless stated otherwise. Project scope, rates, payment terms, expenses, and additional work are agreed in a proposal, order confirmation, statement of work, or other written agreement.

Invoices must be paid within the agreed payment period. If no period is agreed, payment is due within 14 days of the invoice date. Rizvanolli Solutions may suspend work or access to services when invoices remain unpaid after written notice.

Work outside the agreed scope, changes caused by incomplete or incorrect client information, urgent requests, or third-party cost increases may be charged separately after consultation where practical.

Client responsibilities

The client is responsible for providing accurate information, timely decisions, required system access, appropriate licenses, suitable infrastructure, and any permissions needed for the work.

The client remains responsible for its own business processes, legal compliance, data quality, staff instructions, operational decisions, and use of any delivered system or workflow.

The client may not modify, resell, rent, sublicense, transfer, or make delivered work available to third parties without prior written permission, unless this is expressly included in the agreed scope.

Software, automation, and online services

Software, workflow automations, integrations, dashboards, AI-assisted processes, and online services are provided for the agreed purpose and environment. Rizvanolli Solutions does not guarantee uninterrupted operation, error-free output, or permanent availability of third-party platforms, models, APIs, hosting providers, or tools.

Maintenance, monitoring, support, backups, service levels, and future feature changes are only included when agreed in writing.

Intellectual property

All intellectual property in methods, know-how, templates, source code, designs, documentation, workflows, and reusable components remains with Rizvanolli Solutions unless a written agreement expressly transfers ownership.

After full payment, the client receives the agreed right to use the delivered work for its internal business purposes. Rizvanolli Solutions may continue to use general ideas, skills, methods, and reusable components in work for others.

Data storage, hosting, and third-party services

If hosting, data storage, AI models, automation platforms, SaaS tools, or other third-party services are used, those services remain subject to the terms and availability of their providers. Rizvanolli Solutions is not liable for failures, outages, price changes, policy changes, or data loss caused by third-party services.

Unless agreed otherwise, the client is responsible for backups, export routines, access management, retention policies, and verifying that processed data may lawfully be used in the relevant tools.

Liability

Rizvanolli Solutions is not liable for indirect loss, consequential loss, lost revenue, lost profit, business interruption, missed savings, reputational damage, or loss of data, unless liability cannot be excluded under mandatory law.

If Rizvanolli Solutions is liable despite this limitation, liability is limited to the amount paid for the relevant project or service in the three months before the event that caused the claim, unless a higher amount is paid out under applicable insurance.

The client indemnifies Rizvanolli Solutions against third-party claims arising from client data, instructions, materials, unlawful use, or breach of the client's obligations.

Confidentiality

Both parties must keep confidential information secure and may only use it for the purpose of the agreed work. Confidential information may not be shared with third parties unless required for the work, required by law, or agreed in writing.

Force majeure

Neither party is liable for delay or non-performance caused by events outside its reasonable control, including outages, cyber incidents, government measures, strikes, supplier failures, illness, or other disruptions that could not reasonably be prevented.

If force majeure continues for more than 30 days, either party may terminate the affected agreement in writing. The client remains responsible for payment for work already performed.

Final provisions

Dutch law governs these terms and any related agreement. Disputes will be submitted to the competent court in the Netherlands, unless mandatory law requires another forum.
